The Rs 3,050 crore IntelliSmart acquisition by Adani Energy Solutions Ltd (AESL) marks a major milestone in India's rapidly expanding smart metering sector and significantly strengthens the company's position in the country's power distribution modernization drive.
The transaction will substantially increase AESL's smart meter footprint and enhance its capabilities in delivering technology-driven energy solutions across India.
The deal comes at a time when the government is accelerating the adoption of smart meters to improve billing efficiency, reduce power losses, and modernize electricity distribution networks. The acquisition will take AESL's smart meter portfolio to more than 4.7 crore meters, making it one of the largest advanced metering infrastructure players in the country.
Adani Energy Solutions on Tuesday announced that it has signed a binding securities purchase and subscription agreement to acquire a 100 percent equity stake in IntelliSmart Infrastructure. The acquisition includes the redemption of optionally convertible debentures held by the National Investment and Infrastructure Fund (NIIF) in IntelliSmart.
The transaction remains subject to regulatory approvals and other customary closing conditions.
IntelliSmart Infrastructure is currently a joint venture between the National Investment and Infrastructure Fund (NIIF) and Energy Efficiency Services Ltd (EESL). The company has established itself as one of India's leading owners and operators of smart meter assets.
IntelliSmart has installed more than 2.2 crore smart meters across several key states, including Uttar Pradesh, Gujarat, Madhya Pradesh, Bihar, and Assam. The addition of these assets will significantly expand AESL's presence in the smart metering segment.
Following the acquisition, AESL's overall smart meter portfolio will exceed 4.7 crore meters. The company already has an order book of more than 2.46 crore smart meters and currently holds a mandate to deploy 2.5 crore smart meters across five states.
The acquisition is expected to help AESL strengthen execution capabilities, improve project delivery efficiency, and support the growing demand for advanced metering infrastructure solutions nationwide.
Commenting on the acquisition, Kandarp Patel, Chief Executive Officer of Adani Energy Solutions Ltd, said that the purchase of IntelliSmart would enhance the company's scale and execution capabilities while supporting India's power distribution modernization through technology-led solutions.
According to the company, the transaction is expected to generate significant operational synergies through economies of scale, optimization of operations and maintenance costs, and integration with AESL's broader energy and infrastructure platform.
The acquisition aligns with AESL's long-term strategy of expanding beyond traditional power transmission and distribution operations and building a stronger presence in digital energy infrastructure.

The IntelliSmart acquisition process attracted strong interest from multiple industry participants and investors.
According to reports, around 10 entities participated in the initial stage of the bidding process. Among the shortlisted bidders were GMR Smart Electricity Distribution, GIC-backed Genus Power Infrastructures, and Swiss investment firm Partners Group.
Despite intense competition, Adani Energy Solutions emerged as the successful bidder, securing full ownership of IntelliSmart through the Rs 3,050 crore transaction.
Adani Energy Solutions has been steadily expanding its footprint across India's energy infrastructure sector. The company currently operates in 16 states and manages a cumulative transmission network spanning 27,949 circuit kilometers (ckm).
AESL also has a transformation capacity of 123,175 megavolt-amperes (MVA), making it one of the country's leading private-sector power infrastructure companies.
Apart from power transmission and distribution, the company has diversified into smart metering and cooling solutions, positioning itself to benefit from India's growing investments in energy modernization and digital infrastructure.
The acquisition of IntelliSmart is expected to further strengthen AESL's leadership in the smart metering sector while supporting the government's efforts to build a more efficient and technology-enabled power distribution ecosystem.
